Emerge Lite is a Web-based platform managed by Emerge Law PC and our affiliates.

The following are the terms and conditions (“Terms”) for the use of the Emerge Lite website (“Website”), Emerge services (“Services”), and related content and material. These Terms constitute a legal agreement between you, the user of the Website (“You” or the “User), and Emerge Law PC and our affiliates (“Emerge” or “We / Us”). A User of the Website refers to any organization who is granted a membership to the Website and to any individual who uses the Website through his/her/their own membership or through an organization’s membership or otherwise. These Terms govern your access to and use of Emerge Lite, including any content, functionality, and services offered on or through the Website and Services.

We do not permit those under 18 to use the Website or our Service. By using the Website or our Service, you agree that you are over the age of 18 and are legally able to enter into a contract for yourself.

An organization agrees not to use the Website and / or the Services for any commercial purpose, unless a written agreement is in place with Emerge Lite.

The User understands that use of the Website and the Services entails the use of, and access to, a third party service provider and the User agrees not to use the Website and Services in a manner that could affect the third party’s propriety software and platform.

Any breach of these Terms will result in immediate and indefinite termination of your use of our Services, without liability to Emerge.

If the User is an organization through which individuals will be given access to the Website and /or the Services, the User agrees to ensure that all persons who are provided with access maintain the security of the Website. An organizational User shall only provide access to the Website to individuals who [CONDITIONS e.g. only to be accessed at accelerator premises or a specified number of users].

If Emerge cannot satisfy any obligation under this Agreement, such as where there are prolonged Service interruptions, in whole or in part, due to a force majeure, such as a pandemic, labour strike, flood, fire, war or any other unforeseen or uncontrollable event, Emerge shall not be liable to the User where Emerge has communicated to the User the circumstances surrounding the non-performance, and has taken reasonable steps to remove the cause of the non-performance and to mitigate any arising damage.

The owner of the Website is based in Ontario, Canada. We provide this Website for use only by persons located in Canada. This Website is not intended for use in any jurisdiction where its use is not permitted. If you access the Website from outside Canada, you do so at your own risk and you are responsible for compliance with local laws of your jurisdiction.

Except as expressly provided in these Terms or where prohibited by law, the maximum liability of Emerge is the amount paid to Emerge by the customer for membership to the Website and / or use of the Services; however, where Emerge has provided a service or services, the maximum liability of Emerge for any individual service or services is the portion of the total amount paid to Emerge by the customer for the Service or Services at issue as calculated by Emerge.

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Emerge, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms or your use of the Website or in the case of an organizational User, the use by permitted users’ of the Website, including, but not limited to, your User Submissions, third-party sites, any use of the Website’s content, services, and products other than as expressly authorized in these Terms.

16. Waiver

The failure to exercise a right or to require performance of an obligation under these Terms shall not trigger a party’s ability to exercise such right or require such performance at any time thereafter, nor shall Emerge’s waiver of a breach constitute a waiver of any subsequent breach.

17. Class Action Waiver

You agree to not seek to have any disputes with Emerge heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity. Arbitration or any other proceeding to resolve any dispute, in any forum, may be conducted solely as decided upon on an individual basis and not combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

If any term or provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.

19. Governing Law and Choice of Forum

The Website and these Terms will be governed by and construed in accordance with the laws of the Province of Ontario, and the applicable federal laws of Canada.

20. Choice for Forum for Disputes

Any action or proceeding arising out of or relating to this Website and under these Terms will be instituted in the courts of the Ontario and/or the Federal Court of Canada, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.

The Terms and other policies, including but not limited to the privacy policy found at https://emergelite.com/privacy-policy/, shall constitute the sole and entire agreement between you and Emerge regarding the Website and its Services, and shall supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter.

24. Assignment

None of the User’s rights or obligations under this Agreement may be assigned to any other party without the prior written consent of Emerge Lite. If there is a change of control with regard to ownership of the Website and / or any of the Services, Emerge will notify the User.
